Software License Agreement

PLEASE READ: BY DOWNLOADING OUR SOFTWARE YOU ACCEPT THE TERMS AND 
CONDITIONS STATED BELOW IN A LEGALLY BINDING MANNER. 

License

Subject to the terms of this Agreement and payment of all applicable 
amounts – if any – Toshiba grants you a non-exclusive, perpetual and 
non-transferable license to install and use the Software solely for 
your purposes. Each copy of the Software must have its own separate 
license. You are not permitted to make copies of the Software without 
first purchasing the appropriate additional licenses. 

Limitations on Use

You are permitted to make reasonable numbers of copies of the 
Software for back-up purposes. You are not allowed to (1) use, copy, 
modify, create derivative works from or distribute the Software, any 
part of it, or any copy, adaptation, transcription, or merged portion 
of it, except to the extent that the foregoing acts are permitted by 
law; (2) decode, reverse engineer, disassemble, decompile or 
otherwise translate or convert the Software or any part of it, except 
to the extent that the foregoing acts are permitted by law; (3) 
exploit or sell the Software commercially or otherwise transfer or 
dispose the Software. 

Proprietary Rights 

All intellectual property rights in the Software are owned by Toshiba 
and are protected by law, including applicable copyright, trade 
secret, patent, and trademark laws. You will not remove any product 
identification, copyright notice, or proprietary restriction from the 
Software. 

Disclaimer of Warranties

The Software is provided AS IS without warranties or conditions of 
any kind, whether oral or written, express or implied. Toshiba 
specifically does not warrant that the Software will be uninterrupted 
or error-free or will meet your particular requirements whether or 
not those requirements have been made known to Toshiba.

Limitation of Liability 

In no event will  Toshiba be liable for direct, special, incidental, 
consequential or other damages (including lost profit, lost data, or 
downtime costs), arising out of the use, inability to use, or the 
results of use of the software, whether based in warranty, contract, 
tort or other legal theory, and whether or not advised of the 
possibility of such damages. Your use of the software is entirely at 
your own risk. 

Your exclusive remedy will be limited to the amount actually paid for 
the Software. 

Compliance with Export Laws

You will comply with all laws, rules, and regulations (i) applicable 
to the export or import of the Software, or (ii) restricting the Use 
of the Software, including any restrictions on nuclear, chemical, or
biological weapons proliferation.

Governing Law
This Agreement shall be governed by the laws of Germany. The German 
Courts shall have exclusive jurisdiction to determine any disputes 
which may arise out of or in connection with this Agreement.
